1. Acceptance of Terms
By accessing and using MyMediScribe ('the Service'), you accept and agree to be bound by the terms and conditions of this agreement. If you do not agree to these terms, you may not use the Service.
These Terms of Service ('Terms') govern your use of MyMediScribe's AI-powered clinical documentation platform and related services.
2. Service Description
MyMediScribe provides AI-powered clinical documentation software that transcribes medical encounters and generates structured clinical notes.
The Service includes voice recognition, natural language processing, EHR integration, and related features as described on our website and in your service agreement.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with reasonable notice to users.
3. User Accounts and Responsibilities
You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
You must be a licensed healthcare professional or authorized staff member to use the Service. You agree to provide accurate and current information during registration.
You are solely responsible for ensuring that your use of the Service complies with all applicable laws, regulations, and professional standards, including HIPAA and state medical practice laws.
You must immediately notify us of any unauthorized use of your account or any other security breach.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms and all applicable laws and regulations.
You may not use the Service to transmit any unlawful, threatening, abusive, defamatory, or otherwise objectionable content.
You may not attempt to gain unauthorized access to any portion of the Service or any systems or networks connected to the Service.
You may not use the Service in any manner that could damage, disable, overburden, or impair our servers or networks.
5. Prohibited Activities
You may not reverse engineer, decompile, or disassemble the Service or attempt to derive the source code.
You may not use automated means to access the Service except through our official API.
You may not resell, lease, or provide the Service to third parties without our written permission.
You may not remove, obscure, or alter any proprietary notices on the Service.
6. Intellectual Property
The Service and all content, features, and functionality are owned by MyMediScribe and are protected by copyright, trademark, and other intellectual property laws.
You retain all rights to the clinical data and patient information you input into the Service. We claim no ownership over your data.
We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
7. Data and Privacy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
You are responsible for obtaining all necessary consents from patients regarding the use of their information with the Service.
We implement appropriate technical and organizational measures to protect your data, as detailed in our Privacy Policy and Security documentation.
8. Professional Responsibility
MyMediScribe is a tool to assist with clinical documentation. You remain solely responsible for all clinical decisions and the accuracy of all clinical notes.
You must review and verify all AI-generated content before using it in patient care or submitting it to medical records.
The Service does not provide medical advice and should not be used as a substitute for professional medical judgment.
9. Payment Terms
You agree to pay all fees associated with your chosen subscription plan. Fees are billed in advance on a monthly or annual basis.
All fees are non-refundable except as required by law or as explicitly stated in these Terms.
We may change our fees upon 30 days' notice. Continued use of the Service after a fee change constitutes acceptance of the new fees.
If payment fails, we may suspend or terminate your access to the Service.
10. Termination
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.
We may suspend or terminate your account if you violate these Terms or for any other reason with reasonable notice.
Upon termination, your right to use the Service immediately ceases. We will provide you the opportunity to export your data.
11. Disclaimers and Warranties
THE SERVICE IS PROVIDED 'AS IS' WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
We do not guarantee the accuracy, completeness, or reliability of any AI-generated content.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYMEDISCRIBE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.
13. Indemnification
You agree to indemnify and hold harmless MyMediScribe from any claims, damages, losses, and expenses arising from your use of the Service or violation of these Terms.
14. Changes to Terms
We may modify these Terms at any time. We will provide notice of material changes via email or through the Service.
Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.
15. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
Any disputes shall be resolved in the state or federal courts located in San Francisco County, California.
